CARZRENT Partner Agreement

1. Parties and acceptance

1.1. This agreement is offered by Gunita Maslova (CARZRENT), NIF Y8786326H, Avenida de España 9, 38660 Adeje (Santa Cruz de Tenerife), Spain, the operator of carzrent.com ("CARZRENT", "we").

1.2. It is concluded with the person or company that joins the CARZRENT partner program ("Partner", "you"). You accept it by ticking the acceptance box when you sign up or in your partner dashboard. We record the version and the date of your acceptance.

1.3. You confirm that you are of legal age and, if you act for a company, that you may bind it.

2. What you do

2.1. You promote car rental on carzrent.com with your personal link, widgets, banners and other materials from your dashboard (the "Materials").

2.2. You act on your own behalf as an independent party. This agreement creates no employment, partnership or joint venture, and does not allow you to conclude contracts, take payments or make promises on our behalf.

2.3. Rental contracts are made between the customer and CARZRENT or the rental company that provides the car. You are not a party to them.

3. When a booking is yours

3.1. A booking is credited to you if the customer came through your link or widget and booked within 180 days of that visit, in the same browser.

3.2. If the customer later comes through another partner's link, the booking goes to the partner whose link was used last.

3.3. Tracking uses cookies and the partner code that widgets pass on. A booking cannot be credited if the customer blocked or deleted cookies, switched devices, or booked by phone or messenger without the code.

4. Commission

4.1. For each booking credited to you and completed (the car was picked up and returned), you earn:

• 20% of our margin on the car for cars of partner rental companies, or 20% of the rental price for CARZRENT's own cars; and
• 50% of insurance and paid extras (such as full insurance, child seats, young driver fee or delivery) where the income from them stays with CARZRENT.

4.2. Commission is calculated on the final booking after any changes, without deposits, fuel, fines, damage charges and refunded amounts.

4.3. No commission is due for canceled bookings and no-shows; bookings made by you, your family, staff or for your own use; test or fraudulent bookings; and bookings obtained in breach of section 6.

4.4. Commission joins your available balance 3 days after the car is returned. If a booking is later canceled, refunded or found to breach this agreement, its commission is deducted from your balance. The balance may become negative and is then offset against future commission.

4.5. Commission amounts are final and include any indirect tax (VAT, IGIC) that may apply to your services.

5. Payouts

5.1. You can request a payout in your dashboard once your available balance reaches €50. Before the first payout you fill in your billing details (status, name, country, address and tax ID if you have one) and keep them accurate.

5.2. We pay in euros within 10 business days of the request, by a method listed in your dashboard. The transfer fee of the chosen method, shown before you confirm, is borne by you and deducted from the amount.

5.3. You are responsible for your payment details. A payout sent to the details you gave is final.

5.4. We may hold a payout while we check bookings, your identity, your billing details or a suspected breach. We do not pay persons, banks or countries under sanctions.

6. Rules of promotion

6.1. You must not:

• bid on the CARZRENT name, its misspellings or our domains in paid search, social or display ads, use them in ad texts or display URLs, or register domains, pages or accounts that can be confused with CARZRENT;
• present yourself as CARZRENT, its official site or support, or promise prices, availability, insurance or conditions that carzrent.com does not offer;
• send unsolicited messages (spam) or post links where the owner of the site, group or chat does not allow it;
• create artificial clicks or bookings, set cookies without a real visit, use bots, pop-unders or hidden frames, or reward people for clicking or booking without our written consent;
• change how the widgets look or work other than through the dashboard settings;
• place our links or Materials on sites with illegal, adult, hateful or misleading content.

6.2. Neutral mentions of CARZRENT in articles, reviews and comparisons are allowed.

7. Brand and Materials

7.1. We give you a free, non-exclusive, revocable right to use the CARZRENT name, logo and Materials, unchanged, only to promote carzrent.com under this agreement.

7.2. The right ends with the agreement. You then remove the Materials within 14 days.

8. Taxes and payout documents

8.1. You are responsible for registering your activity where the law requires it and for declaring and paying the taxes on your commission.

8.2. Self-billing. You agree that CARZRENT issues the invoices for your commission in your name and on your behalf (facturación por el destinatario, article 5 of Spanish Royal Decree 1619/2012). For each payout we issue a numbered document with your billing details, in a series reserved for these documents, and make it available in your dashboard. A document is accepted unless you object within 15 days of its issue, and you do not issue your own invoice for the same commission. If you are a private individual and not a business, the document is a commission statement, not an invoice.

8.3. Where Spanish law requires us to withhold tax from your payout (for example IRPF or non-resident income tax), we withhold it, pay it to the tax authority and show it on the document. To apply a reduced rate under a tax treaty, you may send us a certificate of tax residence.

8.4. While your billing details are missing or wrong, we may hold payouts.

9. Personal data

9.1. Each party processes personal data as an independent controller under the GDPR and applicable law.

9.2. You do not receive customers' personal data: your dashboard shows bookings without names or contact details.

9.3. We process your data (email, billing and payment details, statistics) to run the program, pay you and meet our tax obligations, as described in our privacy policy at carzrent.com/privacy-policy/.

9.4. Your own site or channel must give its visitors the cookie and privacy information their law requires.

10. Changes

10.1. We may change this agreement or the rates by notice by email and in your dashboard at least 14 days before the change takes effect. Changes required by law, security or fraud prevention may take effect immediately.

10.2. A change does not affect commission already on your balance. If you do not agree, you may end the agreement under section 11; using the program after the change takes effect means you accept it.

11. Term and termination

11.1. The agreement runs for an indefinite period from your acceptance.

11.2. Either party may end it at any time by email or by closing the account. Commission for bookings completed before the end is paid under section 5; if we end the agreement without a breach on your part, we pay the remaining balance even below the minimum.

11.3. We may suspend or close your account at once for a breach of section 6 or for fraud. Commission linked to the breach is not paid.

12. Liability

12.1. The program and the Materials are provided as they are. We work to keep the site and tracking running but do not guarantee uninterrupted operation or that every booking is tracked.

12.2. Neither party is liable for indirect loss or lost profit. Our total liability under this agreement is limited to the commission paid or due to you in the 12 months before the claim. These limits do not apply to intent or gross negligence.

12.3. You hold CARZRENT harmless from claims caused by your content or by your breach of this agreement.

13. Law and disputes

13.1. Spanish law applies.

13.2. Disputes go to the courts of Santa Cruz de Tenerife, unless mandatory law gives you the right to another court.

14. Final provisions

14.1. Notices go to the email of your account and to bank@carzrent.com.

14.2. This agreement is published in Spanish and English. If they differ, the Spanish version prevails. Other translations are for convenience.

14.3. If a clause is invalid, the rest of the agreement stays in force.
